The terms you sign up to.

"Service" means the ExpatReady SaaS platform. "Customer" means the immigration firm subscribing. "Customer Data" means data submitted by Customer or its clients into the Service. "ExpatReady" means ExpatReady Technologies Inc., Ontario.

ExpatReady provides Customer with access to the Service for the term and according to the plan purchased. Specific features and limits are described at /pricing.

Customer is solely responsible for: (a) accuracy and lawful processing of Customer Data; (b) compliance with the CICC Code of Professional Conduct, trust account handling, retainer obligations, and all professional duties as an immigration practitioner; (c) obtaining informed consent from end-clients for data processed through the Service; (d) lawful use of the Service.

ExpatReady is a tool - not a substitute for licensed practitioner judgment. We do not provide immigration advice.

Subject to these Terms, ExpatReady grants Customer a non-exclusive, non-transferable, non-sublicensable right to access and use the Service during the term.

Customer owns Customer Data. ExpatReady holds a limited license to process Customer Data solely to provide the Service. ExpatReady will not use Customer Data to train AI models or for any purpose other than operating the Service.

ExpatReady targets 99.9% uptime per calendar month. Status reports live at /status. Scheduled maintenance is announced at least 48 hours in advance.

Customer agrees not to: (a) reverse-engineer the Service; (b) use the Service for unlawful purposes; (c) introduce malicious code; (d) probe, scan, or test vulnerabilities without prior written consent; (e) use the Service to provide a competing service.

Fees are billed in advance per the selected plan. Annual prepay is non-refundable except where required by law. Founding-firm pricing is governed by the specific terms shown at /pricing at the time of subscription.

Taxes (GST, HST, QST, PST) are added at checkout. Stripe processing fees are absorbed by ExpatReady (no surcharge to Customer).

ExpatReady may suspend the Service for: (a) non-payment after 30 days written notice; (b) material breach of Acceptable Use after 14 days to cure. Customer may terminate at any time per the plan; refunds for prepaid unused service are not provided except for ExpatReady's material breach.

Each party will indemnify the other against third-party claims arising from its own breach of these Terms, gross negligence, or willful misconduct. ExpatReady will indemnify Customer for IP infringement claims regarding the Service itself.

Except for breach of confidentiality, indemnification obligations, or willful misconduct: each party's aggregate liability under these Terms is limited to fees paid in the 12 months preceding the claim. Neither party is liable for indirect, consequential, or special damages.

ExpatReady warrants the Service will substantially conform to its documentation. EXCEPT AS EXPRESSLY PROVIDED, THE SERVICE IS PROVIDED "AS IS" WITHOUT IMPLIED WARRANTIES OF ANY KIND.

Each party will protect the other's confidential information with at least the same care it uses for its own. Customer Data is treated as confidential information of Customer.

ExpatReady may modify the Service from time to time. Material reductions in functionality require 30 days notice. ExpatReady may update these Terms; continued use after 30 days written notice of changes constitutes acceptance.

These Terms are governed by Ontario law (excluding conflict of laws). Disputes resolved by arbitration in Toronto under the ADR Institute of Canada rules, except either party may seek injunctive relief in court.
